Uni-Circle is a trading name of Uni-Hire Ltd. All references to Uni-Circle are tied to the registered business, Uni-Hire Ltd.
 

By accepting these terms, either by clicking "I Accept," or by otherwise accessing or using our services, you acknowledge and agree that you have read, understood, and consent to be bound by these terms either (a) on behalf of yourself as an individual, or (b) if you are accessing the services on behalf of an entity, club, society, organisation, or company, on behalf of such entity, club, society, organisation, or company for which you act, and you represent that you have the authority to bind such entity, club, society, organisation, or company to these terms. If you are not eligible or do not agree with or consent to being bound by any of the terms, you are not authorised to use our services. You also acknowledge and agree that you have read, understood, and agree to the processing of your personal information in connection with the services in accordance with our Privacy Policy, which is hereby incorporated by reference into these terms.
 

NOTICE ON DISPUTE RESOLUTION: You agree that disputes arising under these terms will be resolved by binding, individual arbitration as described in Section 12 (Dispute Resolution; Binding Arbitration). Unless you opt out pursuant to the instructions provided therein, arbitration will be the exclusive means of resolving disputes, rather than jury trials or class, collective, private attorney general, or representative actions. You and Uni-Circle are each waiving the right to any other form of resolution than mutual agreement.

• The use of the services may be subject to separate third-party terms of service and fees, including fees charged by your mobile network operator for data usage, which are solely your responsibility.

• The services are provided "as is" without warranties of any kind, and our liability to you is limited.

• Disputes will be resolved by binding arbitration.

• If you use our app on an iOS-based device, you agree to and acknowledge Section 1 (Notice Regarding Apple) below.
   

1. Notice Regarding Apple
 

You acknowledge that these terms are between you and Uni-Circle only, not with Apple. Apple is not responsible for any app or the content thereof. Apple has no obligation to furnish any maintenance and support services for the app. In the event of any failure of the app to conform to any applicable warranty, you may notify Apple, and Apple may refund the purchase price of the app to you; however, to the maximum extent permitted by applicable law, Apple has no other warranty obligation with respect to the app. Apple is not responsible for addressing any claims by you or any third party relating to the app or your possession and/or use of the app.
 

2. Licences
 

2.1 Licence to Services

Uni-Circle grants you a personal, non-exclusive, non-transferable, limited licence to use the services in accordance with these terms and to download and install an instance of the app onto your mobile device. You may not modify, copy, distribute, transmit, display, perform, reproduce, publish, licence, create derivative works from, transfer, or sell any information obtained directly from the services.
 

2.2 Your Content; Usage Data

You grant Uni-Circle a non-exclusive, worldwide, royalty-free, fully paid, sublicensable, fully transferable, irrevocable licence to collect, access, use, derive, disclose, generate, transfer, transmit, store, host, or otherwise process data, information, and other content and materials submitted to or processed by the service in connection with your use thereof.
 

3. Eligibility
 

You must be at least 18 years of age to use our services. By agreeing to these terms, you represent and warrant that you are at least 18 years of age, have not previously been suspended or removed from our services, and that your registration and use of the services complies with all applicable laws and regulations.
 

4. Ownership; Trademarks; Submissions
 

4.1 Ownership

The services and any materials provided are protected by law, including UK copyright, trademark, patent, trade secret, and other intellectual property rights. All rights, title, and interest in the services and materials belong to Uni-Circle or its third-party licensors.
 

4.2 Trademarks

The trademarks, service marks, and logos used and displayed on the services are registered and unregistered trademarks of Uni-Circle or others. No licence or right to use any trademark displayed on the services is granted without the written permission of the trademark owner.
 

4.3 Submissions

All submissions, suggestions, ideas, and other feedback regarding the services communicated to Uni-Circle are the sole and exclusive property of Uni-Circle.
 

5. User Conduct
 

As a specific condition of your use of the services, you agree not to use the services for any purpose that is unlawful or prohibited by these terms. This includes but is not limited to, impersonating others, attempting to gain unauthorised access to our systems, and introducing harmful materials into our services.
 

6. Third-Party Software, Content, and Materials
 

6.1 Third-Party Software

Your use of third-party software in conjunction with the app is permitted under these terms, but you may have broader rights under applicable third-party terms.
 

6.2 Third-Party Content and Materials

The services may contain links to third-party websites or materials. Uni-Circle is not responsible for the content or privacy policies of third-party websites.
 

7. Revisions, Modifications, Suspensions, and Terminations
 

These terms are effective as of the revision date at the beginning. Uni-Circle may revise these terms at its sole discretion. If we make changes, we will post the revised terms, and they will become effective immediately upon posting.
 

8. DMCA Notification
 

We comply with the provisions of the UK Digital Economy Act 2017 related to copyright infringement. If you believe that your copyrighted work has been copied in a way that constitutes copyright infringement and is accessible via the services, please notify us in accordance with our policy.
 

9. Disclaimers
 

The services and materials are provided on an "as available" and "as is" basis, without warranties of any kind. We do not warrant that the services will be error-free or uninterrupted. Your use of the services is at your own risk.
 

10. Limitation of Liability
 

In no event will Uni-Circle or its affiliates be liable for any direct, indirect, incidental, consequential, or punitive damages arising out of or related to the services. Uni-Circle's aggregate liability will not exceed GBP £100.
 

11. Disputes with Third Parties
 

Uni-Circle is not affiliated with any third-party services accessed or made available through the service. Any dispute you have with any third party using the service is between you and that third party.
 

12. Dispute Resolution; Binding Arbitration
 

12.1 Generally

Disputes arising in connection with these terms will be resolved through binding arbitration, not in court, with limited exceptions.
 

12.2 Opt-Out

You may opt out of arbitration within 30 days of agreeing to these terms by sending a letter to Uni-Circle’s registered office.
 

13. Governing Law and Venue
 

These terms and any disputes arising out of or related to them will be governed by and construed in accordance with the laws of Scotland, without regard to conflict of law principles.
 

14. Termination
 

Uni-Circle reserves the right to terminate your access to the services at any time and for any reason, without liability.
 

15. Severability
 

If any provision of these terms is held invalid, the remaining provisions will remain in full force and effect.
 

16. Assignment
 

These terms may not be transferred or assigned by you without the prior written consent of Uni-Circle.
 

17. Consent to Electronic Communication
 

By using the services, you consent to receiving electronic communications from Uni-Circle.
 

18. General
 

These terms constitute the entire agreement between you and Uni-Circle regarding your use of the services.
